STAMFORD, Conn., March 14, 2013 /PRNewswire/ -- Charter Communications, Inc. (NASDAQ: CHTR) (along with its subsidiaries, the "Company" or "Charter") today announced that its subsidiaries, CCO Holdings, LLC and CCO Holdings Capital Corp., have closed on the private sale of $1 billion in aggregate principal amount of senior unsecured notes in two tranches, due in 2021 (the "2021 Notes") and 2023 (the "2023 Notes" and collectively with the 2021 Notes, the "Notes"). The 2021 Notes total $500 million in aggregate principal amount and bear an interest rate of 5.25 percent per annum. The 2023 Notes total $500 million in aggregate principal amount and bear an interest rate of 5.75 percent per annum. The Notes were issued at par.
The Notes resulted in net proceeds to the Company of approximately $987 million after deducting underwriting discounts, commissions and other expenses. Charter intends to use the net proceeds from the sale of the Notes for general corporate purposes, including to repay existing bank debt.
The Notes were sold to qualified institutional buyers in reliance on Rule 144A and outside the United States to non-U.S. persons in reliance on Regulation S. The Notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
